MANAGEMENT
CONTROL AND MANAGEMENT VESTED IN COUNCIL
The Control of the Association and the management of its property, funds and affairs generally, shall be vested in the Council, who may exercise all such powers and do all such acts and things as may be exercised or done by the Association, and as are not required by the Act or any statutory modification or re-enactment thereof for the time being in force by the Articles of the Association for the time being to be exercised or done by the Association in General Meeting, but subject, nevertheless, to any statutory provisions, to any provisions of these Articles; and to such Bye-Laws (not being inconsistent with the last mentioned statutory provisions or articles) as may be made or prescribed from time to time by the Association in General Meeting, provided always that no such Bye-Laws so made or prescribed shall invalidate any prior act of the Council which would have been valid id such Bye-Laws had not been made or prescribed.
In particular, and without restricting in any way the generality of the powers hereinbefore conferred, the Council may from time to time at their discretion, raise or borrow money for any of the purposes of the Association in such manner, upon such security (if any) and upon such terms and conditions in all respects as they may think fit.
